Terms of Service

These Terms of Service (“Terms”) govern the use of the websites, Harapeko, Kun, other mobile applications, AI-powered features, and related services provided by BAUAI Inc. (“BAUAI,” “we,” “us,” or “our”), collectively referred to as the “Services.”
Please review these Terms and our Privacy Policy before using the Services.
By affirmatively agreeing to these Terms within a Service, creating an account after being presented with these Terms, or beginning to use a Service after acceptance of these Terms is requested, you agree to be bound by these Terms.
1. Scope
1. These Terms apply to the relationship between BAUAI and users relating to the Services.
2. Guidelines, notices, service-specific terms, and other rules displayed by BAUAI in connection with a particular Service (“Additional Terms”) form part of these Terms.
3. If Additional Terms conflict with these Terms, the Additional Terms will govern with respect to the relevant Service or feature.
4. If you use the Services through Apple App Store, Google Play, LINE, or another third-party service, the applicable terms of that provider may also apply.
2. Eligibility
1. You must have the legal capacity necessary to understand and agree to these Terms.
2. If you are a minor or otherwise do not have full legal capacity to enter into these Terms independently, you must obtain the consent of a parent, guardian, or other legal representative where required by applicable law.
3. You may not use the Services where their use is prohibited by applicable law or regulations in your jurisdiction.
3. Accounts
1. Certain features may require creation of an account or connection with an Apple, Google, LINE, or other third-party account.
2. You are responsible for appropriately safeguarding your account and authentication credentials.
3. You must not permit unauthorized use of your account by another person.
4. If you become aware of unauthorized access or a risk of unauthorized access to your account, you should promptly take appropriate measures, including changing relevant authentication credentials.
5. Third-party authentication services are also subject to the terms established by the relevant provider.
4. The Services
Depending on the applicable application or Service, BAUAI may provide features including:
- Saving and organizing notes, text, and other information
- Storing or processing images and photographs
- Storing or processing audio
- Speech recognition and transcription
- AI-generated responses, summaries, classification, search, recommendations, and other processing
- Ingredient, food inventory, recipe, and shopping management
- Integration with LINE and other external services
- Calendar integration
- Notifications and reminders
- Cloud synchronization
- Paid plans and subscriptions
- Advertising
- Other features made available by BAUAI from time to time
Available features may vary by application, operating system, region, version, and subscription plan.
5. User Content
1. Text, notes, images, photographs, audio, files, URLs, and other information that you enter, send, store, or upload through the Services (“User Content”) does not become the property of BAUAI solely because it is submitted to the Services.
2. You are responsible for ensuring that you have the rights or permissions necessary to use your User Content through the Services.
3. You grant BAUAI permission to process User Content to the extent reasonably necessary to provide, store, synchronize, back up, transform, analyze, transmit, display, maintain, secure, and operate the Services.
4. Some User Content may be transmitted to our service providers or external services where necessary to provide AI functions, image analysis, speech recognition, or other requested functionality. Additional information is provided in our Privacy Policy.
5. BAUAI will not use User Content for purposes unrelated to providing the Services unless you separately consent, such use is required by law, or the information has been converted into statistics that do not identify individual users.
6. AI Features
1. The Services may include AI-powered text generation, question answering, search assistance, classification, summarization, image analysis, speech recognition, recipe recommendations, and other functionality.
2. Due to the nature of artificial intelligence technology, AI-generated responses and other outputs (“AI Output”) may be inaccurate, incomplete, outdated, misleading, or factually incorrect.
3. BAUAI does not warrant the accuracy, completeness, currency, fitness for a particular purpose, non-infringement, or any particular result of AI Output.
4. You should independently verify information where it is relevant to an important decision.
5. AI Output is not intended to replace professional medical, legal, tax, financial, investment, nutritional, or other qualified professional advice.
6. You must not rely solely on AI Output when making decisions that may materially affect a person's health, safety, property, rights, or other significant interests.
7. AI systems may generate the same or similar output for different users.
8. You may use AI Output to the extent permitted by applicable law, but you remain responsible for considering whether such use infringes the intellectual property or other rights of third parties.
7. Third-Party Services
1. The Services may integrate with services provided by Apple, Google, Firebase, LINE, Google Calendar, external AI providers, cloud providers, and other third parties.
2. Use of a third-party service may also be subject to the provider's own terms, privacy policy, and other conditions.
3. Changes, outages, restrictions, or termination of third-party services outside BAUAI's control may cause some features of the Services to become unavailable.
4. BAUAI does not guarantee the availability, continuity, or quality of third-party services themselves.
8. LINE Integration
1. Kun and other supported Services may allow users to connect with LINE on an optional basis.
2. Text, images, audio, and other information sent to a BAUAI Service through LINE may be stored or processed as User Content.
3. Communications, account management, and other functionality provided by LINE itself are subject to the terms established by LY Corporation or other applicable LINE service providers.
4. LINE integration may become temporarily or permanently unavailable due to changes, outages, or discontinuation of LINE services.
9. Calendar and Device Permissions
1. Where a Service accesses calendars, photos, cameras, microphones, notifications, or other device functionality, the Service will generally request the permissions required by the device or external service.
2. If you deny or revoke a permission, some or all of the corresponding functionality may become unavailable.
3. When AI or other features are used to create, modify, interpret, or organize calendar events, you should verify important appointments and information before relying on them.
10. Prohibited Conduct
You must not use the Services to:
1. Violate applicable laws or public order;
2. Commit, facilitate, or materially support criminal activity;
3. Impersonate another person;
4. Infringe intellectual property, privacy, publicity, reputation, or other rights or legitimate interests of another person;
5. Store, process, or distribute unlawfully obtained personal information;
6. Gain unauthorized access to the Services or third-party systems;
7. Transmit or distribute malware, viruses, or other harmful software;
8. Interfere with the proper operation of the Services or impose an unreasonable load on our systems;
9. Improperly circumvent technical restrictions, usage limits, access controls, or security measures;
10. Use the Services primarily for the purpose of intentionally harming BAUAI or another person;
11. Conduct spam, fraud, phishing, or other deceptive solicitation through the Services;
12. Copy, modify, reverse engineer, or otherwise exploit the Services beyond what is permitted by applicable law;
13. Use the Services or AI features to carry out or facilitate unlawful activity; or
14. Engage in other conduct that BAUAI reasonably determines to be materially inappropriate for the secure and proper operation of the Services.
11. Restrictions and Account Suspension
1. BAUAI may restrict access, remove applicable content, suspend an account, or terminate an account where a user materially violates these Terms, engages in misuse, creates a security risk, fails to make required payment, or where action is required by law.
2. Unless immediate action is necessary or notice is impracticable, BAUAI will seek to provide reasonable notice before or after taking such action where appropriate.
3. Nothing in this Section limits rights available to users under mandatory applicable law.
12. Fees and Paid Services
1. Some parts of the Services may be offered for a fee.
2. Prices, billing periods, included features, and other material purchase conditions will be displayed on the applicable purchase screen or another appropriate location.
3. Where a purchase is made through Apple App Store, Google Play, or another platform, payment will generally be processed by that platform.
4. Taxes, currency conversion, and other regional factors may cause the amount charged to vary between jurisdictions.
13. Subscriptions
1. The Services may offer automatically renewing subscriptions.
2. Before purchase, we will display material information such as the subscription price, billing period, renewal terms, and whether a free trial applies.
3. Unless you cancel renewal, a subscription may automatically renew according to the terms shown when you purchased it.
4. Subscriptions purchased through the App Store or Google Play are generally managed and canceled through your Apple ID or Google Play account.
5. Merely deleting the application from your device may not cancel an active subscription.
6. After cancellation, you may continue to have access to paid features through the end of the current paid period, depending on the terms of the applicable platform or purchase.
7. If BAUAI changes subscription pricing or material subscription conditions, we will provide any notice required by applicable law and the relevant platform rules.
14. Cancellations and Refunds
1. Purchases made through the Apple App Store, Google Play, or another app marketplace are generally subject to the cancellation and refund rules and procedures of the applicable marketplace.
2. If BAUAI offers its own payment method, applicable cancellation and refund conditions will be disclosed separately before purchase or in another appropriate location.
3. Nothing in these Terms excludes any right that a user has under mandatory consumer protection or other applicable law.
15. Intellectual Property
1. Except for User Content, copyrights, trademarks, and other intellectual property rights in the software, designs, logos, names, text, images, databases, and other components of the Services belong to BAUAI or their respective lawful owners.
2. These Terms do not transfer or license such rights to users beyond the limited right necessary to normally use the Services.
3. You may not commercially reproduce, resell, or redistribute the Services or their content without BAUAI's prior permission except where permitted by applicable law.
16. Data Storage and Backups
1. BAUAI uses reasonable efforts to provide the Services reliably, but does not guarantee that User Content will be stored permanently.
2. Data may be lost due to network failures, device failure, synchronization errors, failure of third-party services, account deletion, or other circumstances.
3. We recommend maintaining independent backups or records of particularly important information where appropriate.
4. If an account is deleted, associated data may be permanently deleted and may no longer be recoverable.
17. Changes, Suspension, and Discontinuation of Services
1. BAUAI may modify the Services for reasonable reasons including product improvement, security, legal compliance, or changes to third-party services.
2. We may temporarily suspend all or part of the Services in circumstances including:
- System maintenance or updates
- Technical failures or security incidents
- Network or third-party service failures
- Natural disasters, power failures, or other events beyond reasonable control
- Other circumstances requiring urgent action
3. If BAUAI permanently discontinues a paid feature or Service in a manner that materially affects users, we will seek to provide reasonable advance notice unless urgent circumstances make such notice impracticable.
4. Rights relating to purchases already made will be handled in accordance with applicable law and relevant platform rules.
18. No Warranty of Particular Results
To the extent permitted by applicable law, BAUAI does not guarantee that:
- The Services will always be available
- The Services will be free of errors or interruptions
- The Services will operate on every device or environment
- AI Output will be accurate or complete
- A particular result expected by a user will be achieved
- Third-party services will remain available
- User Content will be retained permanently
Nothing in this Section excludes obligations or liability that cannot lawfully be excluded under applicable consumer protection or other mandatory law.
19. Limitation of Liability
1. The limitations in these Terms do not apply to damages caused by BAUAI's intentional misconduct or gross negligence, or where applicable law does not permit such liability to be limited.
2. Where damage results from BAUAI's ordinary negligence, BAUAI will, to the extent required by applicable law, remain responsible for ordinary and direct damages.
3. To the extent permitted by applicable law, BAUAI's aggregate liability under the preceding paragraph will not exceed the greater of:
(a) the amount paid by the user to BAUAI for the affected Service during the twelve months preceding the event giving rise to the claim; or (b) JPY 10,000.
4. To the extent permitted by applicable law, BAUAI will not be liable for special, indirect, consequential, or unforeseeable damages or loss of profits or business opportunities.
5. Nothing in this Section limits rights that users have under the Japanese Consumer Contract Act or other mandatory applicable law.
20. Privacy
BAUAI's handling of personal information and other user information is governed by our Privacy Policy.
Please review the Privacy Policy before using the Services.
21. Account and Service Termination
1. Users may request account deletion through functionality provided within the applicable Service or by contacting BAUAI.
2. After account deletion, User Content and associated information will be deleted or anonymized in accordance with our Privacy Policy and applicable law.
3. Deleting a BAUAI account may not automatically cancel a subscription managed by Apple App Store, Google Play, or another third party. Users should review the status of relevant subscriptions through the platform through which the subscription was purchased.
22. Changes to These Terms
1. BAUAI may amend these Terms in accordance with applicable law where reasonably necessary due to changes in law, the Services, security requirements, or other legitimate reasons.
2. Where these Terms are amended, we will provide notice of the changes and their effective date through our website, in-app notice, or another appropriate method.
3. Where a change materially affects users and applicable law requires renewed consent, we may request that users agree to the revised Terms.
4. Revised Terms will apply from the effective date stated in the applicable notice.
23. Assignment
Users may not transfer their contractual status or rights and obligations under these Terms to another person without BAUAI's prior consent.
If BAUAI undergoes a business transfer, merger, company split, or other corporate reorganization, contractual rights and obligations relating to the Services and information necessary for their operation may be transferred to the successor, subject to applicable law and our Privacy Policy.
24. Severability
If any provision of these Terms is held invalid or unenforceable under applicable law, the remaining provisions will continue in effect.
To the extent legally permissible, the invalid or unenforceable provision will be interpreted or replaced in a manner that most closely reflects its original lawful purpose.
25. Governing Law and Jurisdiction
1. These Terms and the legal relationship relating to the Services are governed by the laws of Japan.
2. If a dispute arises between BAUAI and a user, the parties will first seek to resolve the matter in good faith.
3. If the dispute cannot be resolved, the Tokyo District Court or Tokyo Summary Court will have exclusive jurisdiction as the court of first instance, except where otherwise required by applicable law.
4. Nothing in this Section deprives consumers of rights granted by mandatory consumer protection law applicable in their country or place of residence.
26. Additional Terms for Harapeko
1. Harapeko provides functions relating to ingredient management, food inventory, expiration date management, recipe storage and recommendations, shopping management, and other food and cooking activities.
2. Recipes, food information, nutritional information, and AI Output provided through Harapeko are intended as general informational assistance.
3. Users with food allergies, medical conditions, medication requirements, pregnancy, or other significant health considerations should verify original product labels and other authoritative information and consult an appropriate professional where necessary.
4. BAUAI does not guarantee that expiration dates, allergy information, nutrition information, or other information generated or stored through AI or user-entered data will be completely accurate or appropriate for every product or individual user.
27. Additional Terms for Kun
1. Kun is an AI-assisted note service designed to help users store, organize, search, and process text, images, audio, and other information.
2. Kun may allow users to connect LINE, calendar services, and other external services at the user's option.
3. Information sent from external services such as LINE to Kun may be stored, organized, searched, or processed by AI according to the features selected by the user.
4. Users should verify important calendar events and other significant actions created, modified, or interpreted with the assistance of AI.
5. Kun is intended to assist with information organization and productivity and is not guaranteed to serve as the sole permanent repository for important information.
